Terms of Service

1. Introduction

Welcome to MedInvest, a social network and investment education platform for United States healthcare professionals. By registering as a MedInvest member or otherwise accessing or using any of our websites or mobile applications, including any related services (collectively the "Service" or "Services"), whether as a registered member or an unregistered visitor, you are entering into a legally binding contract with MedInvest ("MedInvest," "we," "us," or "our").

MedInvest is a social network. We cannot provide the Services or perform the agreement described in these Terms without processing personal information about you and other users of the Service. Processing this information is essential to the Services that we provide and a necessary part of our performance of our agreement with you.

By accessing the Service, you acknowledge that you have read and understand these Terms, and that you agree to be bound by them. If you do not agree to be bound by these Terms, do not access the Service.

2. The MedInvest Service

A. Eligibility and Prohibited Activities

By registering for the Service, you certify that you are at least 18 years of age or older and a United States physician, medical student, or other healthcare professional, and the information you provide to us in connection with your account registration, including your professional credentials, is accurate and complete.

MedInvest is a United States company. Your information is stored within the United States. The Services are designed specifically for users in the United States.

You agree not to use the Services:

• In any way that violates any federal, state or local law or regulation or professional rule applicable to you.
• In any way that violates or conflicts with any agreement to which you are a party, including any agreement with your employer.
• To impersonate another person, or misrepresent your identity or affiliation with any person or entity.
• In any manner that could disable, overburden, damage, or impair any component of the Service.
• To transmit any advertising or promotional materials without our prior written consent.
• To engage in any conduct that inhibits anyone's use or enjoyment of the Service.

B. Your MedInvest Account

You agree to: (1) choose a strong password, and keep it secure and confidential; (2) not permit others to use your login credentials to access your MedInvest account; and (3) refrain from accessing another member's account. You are solely responsible for your account. To close your account, please contact us at support@medmoneyincubator.com.

C. Investment Information Disclaimer

The content and information made available through the Service are provided for informational and educational purposes only. Nothing on MedInvest constitutes investment advice, financial advice, trading advice, or any other advice. You should not treat any opinion expressed on MedInvest as a specific inducement to make a particular investment or follow a particular strategy.

MedInvest does not recommend, endorse, or provide any advice regarding specific investments, securities, strategies, or other financial decisions. We assume no responsibility for such information. You are solely responsible for your own investment decisions.

D. Service Availability

We make reasonable efforts to keep all of the Services fully operational, however we may encounter technical difficulties or engage in maintenance that may cause temporary interruptions. We reserve the right to modify, suspend or discontinue any Service without liability to you.

3. User Content Standards

You may submit content and other information to the Service including through your profile, newsfeed, and communication tools ("User Content"). You agree that you are solely responsible for your User Content, including its legality, reliability, accuracy, and appropriateness.

You agree that your User Content will not:

• Contain any material that is offensive, abusive, defamatory, obscene, threatening or harassing.
• Promote illegal activity or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Contain any material that infringes or violates the rights of any person or entity.
• Violate any contractual, legal or ethical obligations to which you are subject.
• Contain advertising or promotions that are not expressly authorized by MedInvest.
• Contain fraudulent, false, deceptive or misleading information.

We reserve the right to remove any User Content for any reason, including content that we determine violates these Terms or threatens the safety of our users.

4. Intellectual Property

The Service and its entire contents, features and functionality are owned by MedInvest, its licensors or other providers of such material and are protected by copyright, trademark, patent, trade secret and other intellectual property laws.

By posting User Content, you grant MedInvest a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with the Service.

5. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MEDINVEST DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MEDINVEST DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. MEDINVEST DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

INVESTMENT DISCLAIMER: Past performance is not indicative of future results. Investing involves risk, including the possible loss of principal. The information provided through the Service should not be considered investment advice.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MEDINVEST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT WILL MEDINVEST'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU HAVE PAID TO MEDINVEST IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

7. Indemnification

You agree to indemnify, defend, and hold harmless MedInvest and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

9. Governing Law; Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Arbitration Agreement: You and MedInvest agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through binding arbitration, rather than in court. You waive your right to participate in a class action lawsuit or class-wide arbitration.

10. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and MedInvest regarding your use of the Service.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Changes to Terms: We may revise these Terms from time to time. We will notify you of any material changes by posting the new Terms on the Service.
